Professional Terms

1. About these Professional Terms

These Professional Terms (“Professional Terms”) apply to wellness practitioners, coaches, therapists, instructors, and other service providers (“you,” “Professional,” or “Professionals”) who list in the Fivell.life professional directory, offer private sessions, or otherwise use professional features of the Fivell.life website, mobile application, and related services (the “Service”).

The Service is offered by Wow FitFil Movement Inc. (“FitFil,” “Fivell,” “we,” “us,” or “our”), with its address at 90 Matatag St, Pinyahan, Diliman, Quezon City, 1100 Metro Manila, as Business Partner and product owner.

Aether InfiniMini Solutions Corp. (“Aether”), with its address at SMDC Fame Mall, Mayflower St, Highway Hills, Mandaluyong 1550, is our Technology Partner with a share in commercials. Aether provides technology and related processing services for the Service. For personal data, FitFil is the Personal Information Controller and Aether acts as a Personal Information Processor, as described in our Privacy Policy.

These Professional Terms supplement our Terms and Conditions and Privacy Policy. If there is a conflict between those documents and these Professional Terms regarding your use of professional features, these Professional Terms control for that conflict. Capitalized terms not defined here have the meanings in the Terms and Conditions.

2. Acceptance

By creating a Professional profile, submitting credentials for listing, accepting bookings, offering private sessions through the Service, or otherwise using professional features, you agree to these Professional Terms, the Terms and Conditions, and the Privacy Policy. If you do not agree, do not list as a Professional or offer sessions through the Service.

If you are accepting on behalf of a clinic, studio, or other entity, you represent that you have authority to bind that entity, and “you” includes that entity.

3. Independent relationship

You are an independent contractor. Nothing in these Professional Terms creates an employment, partnership, joint venture, or agency relationship between you and FitFil, Aether, or Fivell. You are not an employee, worker, or agent of FitFil or Aether.

You control how you deliver your professional services, subject to these Professional Terms, applicable law, and your professional standards.
You are solely responsible for your own taxes, social contributions, business permits, professional licenses, insurance, tools, and expenses.
You may not hold yourself out as an employee, partner, or authorized representative of FitFil, Aether, or Fivell.
Fivell provides a technology platform that helps users find and book Professionals. Fivell does not employ, supervise, or clinically direct you.

4. Eligibility and credentials

To list and offer services as a Professional, you must:

Be at least 18 years old and legally able to enter binding contracts.
Provide accurate, current, and complete listing information, including your name, qualifications, specialties, experience, languages, location or service modality (in person / online), fees, and availability.
Hold and maintain any licenses, certifications, registrations, or permits required for your practice under Philippine law or the laws of the place where you provide services — including, where applicable, licenses or registrations with the Professional Regulation Commission (PRC) or other competent regulators.
Carry professional liability or malpractice insurance where required by law, by your regulator, or by the nature of your practice, and maintain coverage suitable for the services you offer.
Promptly update your listing if your credentials, license status, insurance, or contact details change, and notify us if a license is suspended, revoked, restricted, or expires.
Not list or offer services you are not qualified or authorized to provide.

Misrepresenting credentials, licenses, or insurance is a material breach and may result in immediate removal from the Service and other remedies.

5. Verification

Fivell may request documents or information to verify your identity, credentials, licenses, or insurance (for example, government ID, PRC license details, certificates, or proof of insurance). You agree to cooperate promptly and truthfully.

Verification steps are for platform trust and safety. Fivell does not guarantee the accuracy of any Professional’s listing, credentials, reviews, or the quality or outcome of any session.
Passing verification (or displaying a verified badge, if offered) is not an endorsement, employment, or certification by FitFil or Aether.
We may re-verify at any time and may suspend or remove listings that cannot be verified or that appear inaccurate.
Users remain responsible for their own due diligence before booking.

6. Services and standards of care

You are solely responsible for the professional services you provide, including assessment, advice, techniques, referrals, documentation, and follow-up, whether online or in person.
You must practice within your competence and license, follow applicable professional codes of ethics and standards of care, and obtain any informed consent required for your practice.
You must provide services in a safe, respectful, and non-discriminatory manner consistent with our community guidelines and these Professional Terms.
You must not guarantee specific health, fitness, or wellness outcomes.
If a user’s needs fall outside your scope, you should decline or refer them to an appropriate provider.

7. Medical and platform disclaimer

Fivell is a platform, not a healthcare provider. FitFil and Aether do not provide medical, psychological, therapeutic, or other clinical services through the Service. Sessions occur between you and the user. Fivell is not a party to that professional relationship and does not supervise or control clinical judgment.

Content on the Service (articles, videos, community posts, and similar) is for general wellness information only and is not medical advice. You must not present the platform itself as a substitute for emergency care or as your employer or clinical supervisor.

Emergencies. The Service is not for emergencies. If a user appears to be in immediate danger, direct them to call 911 (Philippine national emergency hotline), go to the nearest hospital, or contact the National Center for Mental Health Crisis Hotline at 1553 (or local emergency services if outside the Philippines), in addition to any duty to act under your professional standards and the law.

8. Bookings, fees, cancellations, and no-shows

You set your own session fees, duration, modalities, and cancellation / rescheduling policies, which must be clearly disclosed to users before booking confirmation.
When a user books through the Service, you agree to honor the booking on the stated terms, or to cancel / reschedule promptly under your disclosed policy and in good faith.
You must keep your calendar and availability reasonably accurate to reduce no-shows and double bookings.
Your cancellations. If you cancel or fail to deliver a confirmed session without a legitimate reason under your policy or applicable law, the user may be entitled to a refund, and Fivell may adjust payouts, apply fees disclosed to you, or take account-level action for repeated cancellations.
User no-shows and late cancellations. You may apply the no-show or late-cancellation rules you disclosed at booking, subject to applicable consumer protection law and Fivell’s platform rules.
Disputes about session delivery should first be addressed between you and the user; Fivell may help mediate in line with the Terms and Conditions but is not obliged to resolve every dispute.

9. Payments and Fivell service fee

Where users pay for your sessions through the Service, Fivell (or its payment processors) may collect payment on your behalf and remit your share after deducting the Fivell service fee and any payment-processing or tax withholdings disclosed to you (for example, in your Professional dashboard, onboarding materials, or at the time of listing).
Service fee rates and payout timing will be shown before you accept paid bookings or as otherwise agreed in writing. We may update fees with reasonable prior notice.
You are responsible for reporting and paying taxes on amounts you receive. Fivell may issue documentation required by law where applicable.
You must not solicit or require users to pay off-platform for bookings that originated on Fivell in order to avoid platform fees, where that conduct is prohibited under these Professional Terms or the Terms and Conditions.
Refunds processed under your policy, the Terms and Conditions, or applicable law may be deducted from future payouts or otherwise recovered as disclosed.

10. Confidentiality and personal data

Personal data on the Service is handled under the Data Privacy Act of 2012 (Republic Act No. 10173) and our Privacy Policy. FitFil is the Personal Information Controller for platform data; Aether is a Personal Information Processor acting on FitFil’s instructions.

When you receive user information through the Service (profile details, booking data, messages, journals shared with you, or health-related information), you must use it only to provide the booked services and to meet your legal and professional duties.
You have your own independent duties as a professional regarding session content, clinical notes, and confidentiality under your profession’s rules and applicable law. Fivell does not receive or store the content of private sessions unless a feature clearly discloses otherwise and the parties agree.
You must not disclose a user’s personal or health information except with their consent, as required by law, or as needed for urgent safety, consistent with your professional obligations.
You must take reasonable security measures to protect any user data you store outside the Service (for example, your own notes or devices).
If you become aware of a personal data breach involving Fivell users’ data in your custody, notify dpo@fivell.life promptly so FitFil can meet its obligations under the Data Privacy Act and NPC rules where applicable.

11. Prohibited conduct

In addition to the prohibited conduct in the Terms and Conditions, you agree not to:

Misrepresent identity, qualifications, licenses, insurance, affiliations, or outcomes.
Provide services outside your licensed or competent scope.
Harass, exploit, discriminate against, or harm users, including sexual misconduct or boundary violations.
Use the Service to solicit illegal activity, uncontrolled substances (except lawful practice within your license), or fraudulent schemes.
Post false reviews, manipulate ratings, or incentivize misleading feedback.
Scrape user data, spam users, or use bookings to harvest contacts for unrelated marketing without consent.
Interfere with the Service’s security or other Professionals’ listings.
Circumvent fees or safety features in bad faith.

12. Reviews and marketing

Users may leave reviews or ratings about sessions. You may respond courteously and must not disclose confidential session details in public replies.
Fivell may display your listing, photo, bio, specialties, and aggregated ratings in the directory and related marketing of the Service.
You grant Fivell a non-exclusive, worldwide, royalty-free license to use your name, likeness, professional bio, and listing content to operate, promote, and improve the professional directory and Service. You may request removal of your listing as described in Section 14.
You may promote your Fivell listing, but you may not suggest that FitFil or Aether endorses specific clinical outcomes or employs you.

13. Intellectual property

You keep ownership of materials you create for your practice (for example, your worksheets or session plans), subject to any license you grant users separately.
Listing content you submit may be used by Fivell as described in Section 12 and the Terms and Conditions.
Fivell’s software, branding, and platform content remain owned by or licensed to Wow FitFil Movement Inc. You receive no rights except a limited license to use professional features as allowed under these Professional Terms.
Do not use Fivell trademarks in a way that implies partnership or employment without our prior written consent.

14. Suspension and termination

You may stop offering services and request removal of your Professional listing at any time by using in-app controls or contacting support@fivell.life. Outstanding bookings should be completed or canceled under your disclosed policy.
We may suspend or terminate your Professional access, hide or remove your listing, or withhold payouts pending investigation if you breach these Professional Terms or the Terms and Conditions, if required by law, or if needed to protect users or the Service (for example, credential issues, safety complaints, or chargebacks).
Where reasonable, we will tell you why and give you a chance to respond, except where doing so would create legal or safety risk.
Sections that by their nature should survive (including confidentiality, IP, indemnity, limitation of liability, and governing law) continue after termination.

15. Indemnity

You agree to indemnify and hold harmless FitFil, Aether, and their directors, officers, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from: your professional services or advice; your listings or credentials; your breach of these Professional Terms, the Terms and Conditions, or the law; your handling of user personal data or session content; disputes with users about bookings, fees, or outcomes; or infringement of third-party rights by your content or practice — except to the extent caused by FitFil’s or Aether’s fraud, bad faith, or gross negligence.

16. Limitation of liability

To the fullest extent permitted by law:

The Service is provided “as is” and “as available.” Fivell does not warrant uninterrupted access, booking volume, or any particular commercial result from listing.
FitFil and Aether will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, or goodwill, arising from or related to your use of professional features.
FitFil’s and Aether’s total aggregate liability for all claims relating to these Professional Terms or your use of professional features will not exceed the greater of (a) the amount of Fivell service fees you paid (or that were deducted from your payouts) in the twelve (12) months before the claim arose, or (b) PHP 100,000.
These limits do not apply to liability that cannot be limited under Philippine law, including liability arising from fraud, bad faith, or gross negligence.
You remain fully responsible to users for your professional services; platform liability limits do not transfer that responsibility to FitFil or Aether.

17. Governing law and venue

These Professional Terms are governed by the laws of the Republic of the Philippines, without regard to its conflict-of-law rules. Any dispute arising from or relating to these Professional Terms or your use of professional features will be brought exclusively before the proper courts of Quezon City, Philippines, and you and Fivell submit to their jurisdiction. (Counsel may refine venue wording before publication.) Before filing a claim, we encourage you to contact us at support@fivell.life so we can try to resolve the issue informally.

18. Changes

We may update these Professional Terms from time to time. If we make material changes, we will notify you in the app or by email before they take effect. The “Effective date” at the top shows when these Professional Terms were last updated. If you continue to use professional features after changes take effect, you accept the updated Professional Terms. If you do not agree, you should stop offering services through the Service and may request removal of your listing.

19. General provisions

Entire agreement. These Professional Terms, together with the Terms and Conditions and Privacy Policy (and any fee schedule or onboarding terms presented to Professionals), form the agreement between you and Fivell regarding professional features.
Severability. If any part is found invalid, the rest remains in effect.
No waiver. Failure to enforce a provision is not a waiver of the right to do so later.
Assignment. You may not transfer your Professional account without our consent. We may transfer our rights in connection with a merger, acquisition, or sale of assets, with notice to you.
Language. These Professional Terms are written in English. Any translation is for convenience only; the English version prevails.
